Framework agreement for purchase of stationary batteries for the whole Vattenfall Group. Orders/Call off will be done by each company.
The contract will include accessories connected to the material group.
Seismiological test of the batteries, whenever applicable, shall be done by the supplier and be included in the price.

Additionally, it is required that the applicants submits a cover page as hardcopy containing written and signed confirmation of it's application, as well as detailed list of the USB-stick or data CD and their content. 2 Upon applying, the applicant agrees to the possibilty that another Vattenfall company will be the ordering company 3. The ordering company reserves the right to request further clarification and supporting documentation (also in relation in to the minimum criteria). Addionally, the ordering company reserves the right to request an en person presentation of the applicant. The applicant is, nevertheless, not entitled to make such request an (supplementary claims or company prsentation in person) to the ordering company. 4, Failure to comply with all announced minimum criteria can lead to immidiate disqualification from the tendering process 5. Detailed informationregarding subsequent tendering process will be spicified with the RFQ documents. 6. Contract award is under commitee reservation 7. The ordering compnayreserves the right to order the complete scope of tender or limited parts only if an applicant exists that can onlydeliver partial elements, but can do so in the most economically form for the ordering company, with the perspective of economic value. 8. In case of appeals or claims, the applicable maximum period of 15 days applies, starting from the date of publication of the tender. 9. No expenses shall be incurred by the ordering company to an applicant, in case of it's disnissal from the tendering process, whatsoever. 10. Ordering company is exempt of any changes or expenses throughout the entire tendering process by applying companies, whatsoever. Upon confirmation of interest to participate, selected applicants will be petitioned to prepare and submit application documents. Selection follows thre step procedure, as described below. A. With submission to tender the applicants has to prove in a suitable and comprehensive way the abidance of the following requirements:

Not answering any of these questions can lead to being excluded from taking part in this tendering procedure.(These are minimum requirements).

1. The applicants must be includedin the trade register according to legaslation of the country of establishment. Send a certification, not older than 6 month

2. The applicants declares that is has fulfilled its obligations with regard to the payment of socila insurance payments in accordance with the provisions of the law applicable to it.

3.The applicants declares that is fulfilled it's obligations with regard to the payment of taxes in accordance with the provisions of the law applicable to it.

4 The supplier confirms that it's behavior is in compliance with Vattenfall's code of conduct for suppliers

If any of these points already are stated in the registration in Selliha/Connexio, a remark to that combined with telling your registration-ID will be accepted as an alternative for the required proof.

Supplier must be registred in Sellicha/Connexio latest when the contract will be signed. (If already regis´tred, please send a copy with your ID).

Ekonomisk och finansiell ställning:

The applicant shall submit the foolowing documents (these are minimum requirements):

1. The supplier shall take out and maintain a general liability insurance. The insurance amount shall be the highest of the total contract sum 20 000 000 SEK or 2 000 000 EUR against damage and injury. A copy of the insurance policy shall be handed over to the purchaser with the applying document.

2. Personally written and signed confirmation that the applicant is already registred or will be registred in Selicha/Connexio- system, latest before the framework agreement is signed. Standard certificate from Sellicha/Connexion will be accepted an an alternative for the required proof.

3. The applicant shall deliver the following information for the last three financial years:

— Turnover in Euro,

— Gross profit in Euro,

— Net profit in Euro,

— Number of empoyees.

If already stated in the registration in Sellicha/Connexio, a remark to that combined with telling your registration ID will be accepted as an alternative for this required proof.

Teknisk och yrkesmässig förmåga:

(These are minimum requirements):

1. The applicants declares that it is able to deliver the requested products considering the technical specifications across the entire Vattenfall Group applicable (i.e Sweden, Germany, etc) A logistic solution (esp. for Sweden) has to be prepared until offering/negotiation stage.

2. The applicant declares that itis able to deliver descriptions for the requested products in the domestic language (technical description)

3. The applicant must have a qulity-management system in place, compliant to EN ISO 9001. Written verification required,

4. The applicant must have a enviroment-management system in place, compliant to EN ISO 14 001. Written verification required,

5 Personally signed statement of compliance to the request that the issuing company is entitled to quality visits to the manufactory site for verification troughout the tender process.

6 The applicant shall deliver selected references for the delivery of the last 15 years, with a maximum of 3 references per battery category (i.e OpZs, GroE, etc) including number of cells and name of the customer. Vattenfall reserves the right to contact one or all of the references if necessary.

All agreed prices in the offer and framework agreement should be in Euro.In case the deliverer and recipient are from the same country, the settlement in domestic currency should be allowed in the contract.
